Terms & Conditions
These terms set out how htbj technologies works with its clients and how our website may be used. By signing a Proposal or using htbjtech.com, you agree to them.

1. About us and these terms
- htbj technologies ("htbj", "we", "us") is the registered business name of Henry Thomas Bryden Jones, a sole trader based in Victoria, Australia (VIC 3144). ABN 17 679 659 718. Contact: henry.jones@htbjtech.com.
- htbj designs and builds custom software that the client owns outright, with no recurring subscription.
- These terms apply to every discovery call, proof of concept, build package, block of extra hours and support plan we provide. They also apply to anyone using our website.
- If a signed proposal or scope of work says something different from these terms, the proposal wins for that project.
- Nothing in these terms excludes any right you have under the Australian Consumer Law (ACL) that cannot legally be excluded.

3. Our services
We sell work by package and by hours, not by naming a specific tool. The exact scope of each project is set out in its Proposal.

- Example builds include commission and target tracking, lead and account hubs, internal ticketing, hospitality operations apps and simple booking and invoicing tools.
- Current prices are set out in your Proposal or our current price list. Work agreed outside a Package or Top Up Block is charged at the hourly rate stated in your Proposal.
- Bonus hours are part of the Package price. Hours not used within a Package must be used within 12 months of signing and do not carry over.
- Any request in the Support Plan expected to take more than 30 minutes is quoted as a Top Up Block before we start it.
- We may change our prices for new Proposals. Changes never affect a Proposal you have already accepted.
4. Proposals and how an agreement is formed
- After a free discovery call, we send you a Proposal. It states the scope, what is excluded, the Package or hours, milestones and the price.
- A Proposal is valid for 30 days from the date we send it.
- The agreement starts when you sign the Proposal. Signing it also starts the 14-day Proof of Concept period.
- Within those 14 days, we build and show you the Proof of Concept. You can cancel at any time during the 14 days for a full refund (see section 12).
- The build continues past the Proof of Concept at the end of the 14 days, unless you have cancelled.
- Timelines in a Proposal are good-faith estimates, not guarantees. They depend on you giving us feedback and access on time.
5. Fees and payment
- All prices are in Australian dollars. htbj is not currently registered for GST, so no GST is charged. If htbj registers for GST, we will tell you before GST is added to any new invoice.
- We invoice the full Package fee when you sign the Proposal. Payment is due within 14 days of signing.
- Late payment: if payment isn't received within 14 days of signing: (a) a one-off late payment admin fee of AUD $50 applies; (b) interest accrues on the overdue amount at 10% per year, calculated daily, until it is paid; (c) we may pause work until the invoice is paid; and (d) you must pay our reasonable costs of recovering the debt, including debt collection and legal costs.
- Top Up Blocks are paid in full before the work starts.
- The Support Plan is billed monthly in advance and is due within 14 days. You can cancel it with 30 days' written notice.
- Ongoing third-party costs are separate from our fees and are paid by you, usually directly to the provider. These include hosting, Salesforce licences, and API or enrichment usage such as Claude or Clay. We will estimate these costs in the Proposal so that "no subscription" stays honest.
6. Your responsibilities
- Give us the accurate information, access and logins we need to do the work, such as CRM access or sample data.
- Name one person who can give feedback and approve work.
- Review check-in work and give feedback within 5 business days. Delays on your side may push out timelines.
- Make sure you have the right to share any data, content or systems you give us.
- Keep your own backups of your data and keep account credentials secure. This includes credentials after handover.
- Test the Deliverables at handover and tell us within 14 days if anything doesn't match the Proposal.
7. Changes to scope
- Work outside the Proposal's scope is a change request.
- We will tell you before starting any change request that needs more hours than your Package has left. We quote it in Top Up Blocks, and work starts only once you approve it.
- We will not bill you for extra work you haven't agreed to in writing.
8. Intellectual property and ownership
- You own what we build for you. Once the relevant invoices are paid in full, ownership of the Deliverables passes to you, including the code written specifically for your project.
- htbj keeps ownership of htbj Tools. These are the general know-how, templates and reusable components we bring to every project. You get a permanent, royalty-free licence to use the htbj Tools that are built into your Deliverables, for your own business, with no ongoing fee.
- Third-Party Services and open-source components stay under their own licence terms.
- Your data stays yours. We only use it to deliver the services.
- We may describe the work in our portfolio in general terms, without your name or confidential details. We will only name your business or show screenshots with your written permission.
- If you cancel within the 14-day Proof of Concept period, the Proof of Concept work stays with htbj.
9. Confidentiality and data protection
- We each keep the other's confidential information private and use it only for the project. This includes pricing, business processes, customer lists and compensation data. This obligation continues after the project ends.
- Some builds handle sensitive data, such as commission and pay data, customer and contact data, or incident reports. We only access what the work needs, and use secure, access-controlled tools to do it.
- We handle personal information in line with the Privacy Act 1988 (Cth) where it applies, and with our Privacy Policy at htbjtech.com.
- Your application is hosted by Lovable, with its data stored in Supabase. The Proposal states which of two options applies: (a) a Lovable-hosted address ending in .lovable.app, or (b) publishing to a domain you own, in which case you are responsible for the domain's registration and DNS settings. Where possible, the tool runs on accounts you own, so you keep control of it.
- At handover, or when you ask, we hand back or delete any copies of your data we hold, and remove our access to your systems.
- If we become aware of a data breach affecting your data, we will tell you promptly.
10. Third-party services and AI
- Our development process uses these services:

- Builds may also connect to other Third-Party Services, depending on the project. Examples include Salesforce, n8n and Clay.
- These providers may process or store your data, including outside Australia. Their own terms, privacy policies, pricing and availability apply. Each Proposal lists the services that project uses and where your data is hosted.
- Where possible, the GitHub repository and Supabase project are set up under accounts you own, or are transferred to you at handover.
- We are not responsible for outages, price rises or changes made by those providers. If a provider change breaks your tool, we can fix it under the Support Plan or a Top Up Block.
- Some features use AI to enrich or summarise data. AI output can be wrong, so check important information before relying on it.
- We will not put your confidential or personal data into an AI service that trains on it without your agreement.
11. Warranties and limitation of liability
- We will do the work with reasonable care and skill, and the Deliverables will do what the Proposal describes at handover.
- If something doesn't match the Proposal and you tell us within 30 days of handover, we will fix it at no cost.
- Software can have bugs, and we can't promise it will run without interruption, especially where it depends on Third-Party Services.
- As far as the law allows, our total liability under any project is limited to the fees you paid for that project. For the Support Plan, the limit is the fees you paid in the previous 3 months.
- We are not liable for indirect or consequential loss, such as lost profits, lost revenue or lost data. This includes loss caused by changes you or others make to the tool after handover.
- Nothing in these terms limits your rights under the Australian Consumer Law. Where the ACL lets us limit our liability, we limit it to re-supplying the services or paying the cost of having them supplied again.
12. Refunds, cancellation and termination
- 14-day cancellation right. You can cancel for any reason within 14 days of signing the Proposal, and get a full refund of anything you have paid. No questions asked.
- To cancel, email us at henry.jones@htbjtech.com within the 14 days. We will refund you within 14 days, using your original payment method. If you haven't paid yet, you owe nothing, including any late payment fee or interest.
- After the 14 days, fees are no longer refundable. This does not affect your rights under the Australian Consumer Law, or our promise in section 11 to fix anything that doesn't match the Proposal.
- If you cancel, you don't receive the Proof of Concept or any other unfinished work. We remove it from your systems.
- Top Up Blocks are not refundable once work on them has started.
- The Support Plan can be cancelled with 30 days' notice. Fees already paid for past months are not refunded.
- We may end an agreement with 14 days' written notice if you seriously breach these terms and don't fix the breach. This includes leaving an invoice unpaid for more than 30 days. Amounts owed, including any late payment fee, interest and recovery costs, remain payable.
- Sections 8 to 11 and 14 continue to apply after the agreement ends.
13. Using our website
- Our website, htbjtech.com, gives general information about htbj's services. It isn't an offer to supply services. Only a Proposal is.
- Case studies describe past work in general terms. Your results will depend on your business.
- The htbj name, logos, content and design on the website belong to htbj. You may not copy them without permission.
- We may link to third-party websites, but we are not responsible for their content.
- Personal information you give us through the website, such as when you book a discovery call, is handled under our Privacy Policy.
14. General
- htbj is an independent contractor. Nothing in these terms creates an employment relationship, partnership or agency.
- We may use trusted contractors or tools to help deliver work. We remain responsible for that work, and they are bound by the same confidentiality obligations.
- Neither of us is liable for delays caused by events outside our reasonable control.
- If there's a dispute, we will first try to resolve it in good faith through direct discussion for 30 days before taking any other step.
- We may update these terms from time to time. The version in force when you accept a Proposal applies to that project.
- These terms are governed by the laws of Victoria, Australia, and both of us submit to the courts of Victoria.
